Effective Date: 1 January 2011. Please review the legally binding agreement governing your access and use of IIFA Placement.
By accessing, registering for, purchasing, connecting accounts to, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you must not access or use the Service.
1. Scope of Service
The Service is intended primarily for recruiters, hiring managers, human resources departments, staffing agencies, recruitment consultants, employers, and organizations seeking to manage, process, organize, analyze, and review resumes, CVs, candidate information, and recruitment-related communications.
The Service may permit users to connect Gmail accounts, upload resumes manually, receive resumes through email workflows, and utilize automated and AI-powered extraction, classification, summarization, and candidate management features.
2. Eligibility & License
You represent and warrant that you are at least eighteen (18) years of age and possess the legal authority to enter into this agreement. Access by persons under eighteen years of age is prohibited.
The Company grants a limited, revocable, non-exclusive, non-transferable license to access and use the Service solely for lawful business purposes and in accordance with these Terms. All rights not expressly granted remain reserved by the Company.
3. User Content & Gmail Access
Users remain solely responsible for all information uploaded, imported, submitted, transmitted, synchronized, processed, or stored through the Service. Users further represent and warrant that they possess all necessary rights, permissions, authorizations, and lawful bases required to process candidate information, resumes, CVs, personal information, employment records, contact details, and any other data submitted to the Service.
Where Gmail connectivity is utilized, users expressly authorize the Company to access and process email content, attachments, metadata, resumes, and recruitment-related information solely for purposes necessary to provide the Service. The Company does not acquire ownership of user email content through such access.
4. AI Features & Disclaimers
The Service may utilize artificial intelligence, machine learning systems, automated extraction tools, language models, classification systems, ranking mechanisms, summarization technologies, and analytical systems.
Users acknowledge that AI-generated outputs may contain inaccuracies, omissions, errors, inconsistencies, hallucinations, incorrect rankings, incomplete candidate profiles, or other defects. The Company makes no representation, warranty, or guarantee regarding the accuracy, completeness, suitability, reliability, legality, or fitness of AI-generated outputs. Users remain solely responsible for independently reviewing and validating all outputs before relying upon them.
5. Fees & Non-Refundability
All fees paid for the Service are final. Except where required by applicable law, all purchases, subscriptions, renewals, credits, usage fees, setup fees, and service charges are non-refundable.
No refunds, credits, chargebacks, offsets, or reimbursements shall be provided for unused subscriptions, partial usage periods, account termination, service interruptions, dissatisfaction with results, or any other reason.
6. Restrictions on Use
Users shall not reverse engineer, decompile, disassemble, scrape, copy, mirror, reproduce, resell, sublicense, lease, distribute, modify, interfere with, disrupt, circumvent security controls of, or otherwise exploit the Service except as expressly permitted by law.
Users shall not use the Service for unlawful recruitment practices, spam, fraud, harassment, unauthorized surveillance, data harvesting, intellectual property infringement, or any activity violating applicable law.
7. Suspension & Termination
The Company reserves the absolute right, at its sole discretion and without prior notice, to suspend, restrict, investigate, terminate, remove, or permanently disable any account or access to the Service for any reason, including suspected abuse, excessive usage, policy violations, fraud, security concerns, non-payment, legal risk, technical risk, or conduct that may adversely affect the Company, its systems, users, or reputation.
8. Intellectual Property & Disclaimers
All intellectual property rights relating to the Service, including software, source code, algorithms, designs, trademarks, logos, databases, documentation, interfaces, workflows, visual elements, AI systems, trade secrets, and proprietary technologies remain the exclusive property of IIFA Placement and its licensors. Nothing contained within these Terms transfers ownership of any intellectual property rights to the user.
To the fullest extent permitted by law, the Service is provided strictly on an “AS IS”, “AS AVAILABLE”, and “WITH ALL FAULTS” basis. The Company expressly disclaims all warranties, representations, guarantees, conditions, and undertakings of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, security, uninterrupted operation, accuracy, reliability, and performance.
Users acknowledge that the Company is merely a technology provider and does not participate in hiring decisions, employment decisions, candidate evaluations, background verification, recruitment outcomes, employment relationships, or contractual arrangements between users and candidates.
9. Limitation of Liability & Indemnification
To the maximum extent permitted by law, IIFA Placement, its affiliates, partners, owners, directors, officers, employees, contractors, consultants, representatives, licensors, successors, and assigns shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, regulatory, economic, reputational, or other damages, including loss of profits, revenue, business opportunities, goodwill, data, candidates, employment opportunities, contracts, or anticipated savings arising from or relating to the use of the Service, Gmail integrations, AI outputs, candidate processing, service interruptions, outages, security incidents, third-party actions, recruitment decisions, employment decisions, or any reliance upon information processed by the Service.
Notwithstanding anything to the contrary contained herein, the total aggregate liability of the Company arising out of or relating to the Service shall not exceed the total amount actually paid by the user to the Company during the twelve (12) months immediately preceding the event giving rise to the claim.
The user agrees to defend, indemnify, and hold harmless IIFA Placement and its affiliates, officers, employees, contractors, and representatives from and against any claims, liabilities, damages, losses, penalties, costs, expenses, investigations, proceedings, or legal fees arising out of or related to the user's use of the Service, uploaded content, recruitment activities, candidate information, violations of law, violations of third-party rights, or breach of these Terms.
10. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiations. If unresolved, such dispute shall be finally resolved through binding arbitration in Kanpur, Uttar Pradesh, India, in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time.
The arbitration shall be conducted by a sole arbitrator appointed by the Company. The language of arbitration shall be English. Subject to applicable law, courts located in Kanpur, Uttar Pradesh shall have exclusive jurisdiction over matters relating to enforcement, interim relief, or arbitration-related proceedings.
